Terms of Service

These terms ("Terms") govern your access to and use of grandportintl.com (the "Site") operated by Grandport International ("Grandport," "we," "us"). By using the Site or submitting an inquiry you agree to these Terms.

Nature of services

Grandport is a B2B sourcing agency. The Site provides information about our services and a means to submit inquiries. Inquiry submission does not create a sourcing engagement, purchase order, or any obligation to transact. Engagements are governed by separate agreements executed in writing.

Eligibility

The Site is intended for business users acting in a commercial capacity. By submitting an inquiry you confirm you are authorised to engage sourcing services on behalf of the entity you represent.

Acceptable use

You agree not to:

• Submit false, misleading, or fraudulent information.
• Use the inquiry form to send unsolicited marketing, malware, or automated traffic.
• Attempt to reverse-engineer, scrape, or overload the Site or its API.
• Infringe any third-party intellectual property or other rights.

Inquiry content and intellectual property

You retain ownership of any reference materials (images, links, sketches, specifications) you submit. You grant Grandport a limited, non-exclusive licence to use those materials solely to respond to your inquiry and to communicate with suppliers on your behalf. Site content, design, copy, and brand marks remain the property of Grandport.

Pricing, quotations, and orders

Quotations issued during the sourcing process are indicative until confirmed by supplier invoice or written agreement. Lead times and prices are subject to manufacturer availability, raw material costs, and shipping conditions. Final pricing, payment terms, and warranties are governed by the engagement-specific contract.

Sample products and quality control

Production samples and pre-shipment inspections are part of our standard process where applicable. Sample approval does not waive your responsibility to inspect goods on receipt or supplier responsibility for conformance to specifications.

Disclaimers

The Site and any information provided through it are offered "as is" and "as available". We disclaim, to the maximum extent permitted by law, all warranties express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, Grandport's aggregate liability arising out of or relating to the Site (other than under a separate executed engagement agreement) shall not exceed USD 100. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or business interruption.

Indemnity

You agree to defend and indemnify Grandport against claims arising from your use of the Site, your inquiry content, or your breach of these Terms.

Governing law and dispute resolution

These Terms are governed by the laws of the United Arab Emirates. Disputes shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE, unless a separate executed agreement specifies otherwise.

Changes

We may update these Terms from time to time. Material changes are indicated by the "Effective" date above. Continued use of the Site after a change indicates acceptance.
